Terms & Conditions of Supply

Company: Avon Animal Feeds (“we”, “us”, “our”)
Customer: the company, individual or entity applying for credit and/or purchasing goods (“you”, “the Customer”).

1. Scope

These Terms & Conditions apply to all quotations, orders, sales and deliveries of animal feed, agricultural supplies, and associated products supplied by Avon Animal Feeds. By submitting an account application, placing an order or accepting delivery, you agree to be bound by these Terms.

2. Orders

  1. Orders may be placed in person, by telephone, email or through any authorised channel.
  2. Orders are subject to product availability at the time of dispatch.
  3. We reserve the right to decline or amend any order at our discretion.
  4. A minimum order value of £30 applies to all deliveries.

3. Prices

  1. All prices are stated exclusive of VAT unless otherwise indicated.
  2. We reserve the right to alter prices at any time to reflect changes in costs, taxation, or market conditions.
  3. Any quotes given are valid for 14 days unless otherwise confirmed in writing.

4. Delivery

  1. Deliveries are made using our own vehicles unless otherwise arranged.
  2. Delivery dates and times are estimates and may vary. We are not liable for delays outside our reasonable control.
  3. You must ensure safe and reasonable access for delivery vehicles.
  4. Where delivery cannot be completed due to access restrictions, absence of an authorised recipient, or for reasons beyond our control, we may apply a re-delivery charge.
  5. Delivery is deemed complete when goods are unloaded at your designated delivery point or, where no point is specified, at what we reasonably determine as the most suitable location.

5. Transfer of Risk and Title

  1. Risk transfers to you upon delivery of the goods.
  2. Title remains with Avon Animal Feeds until full payment is received, including any interest, charges or outstanding balances.
  3. Until title passes, you must store goods safely and not allow them to be seized, transferred or encumbered.

6. Returns & Refunds

  1. Returns are only accepted where:
    • products are unopened,
    • undamaged,
    • and we are notified immediately upon delivery.
  2. Refunds or credits for returned goods will only be processed after inspection and confirmation that they are fit for resale.
  3. Special-order items or bespoke products are non-returnable.

7. Payment Terms

  1. We supply on the basis of:
    • 7 days following delivery,
    • 14 days following delivery,
    • 21st of the month following delivery, or
    • Up-front payment only,
    as agreed and confirmed by Avon Animal Feeds.
  2. All credit terms remain at our discretion and may be amended or withdrawn at any time.
  3. Payment must be made by bank transfer, card, direct debit or other approved method.
  4. Any allocated credit limit may not be exceeded without written approval.

8. Credit Limits

  1. Credit limits are determined by Avon Animal Feeds based on internal assessment and/or external reference checks.
  2. We may review and adjust your limit at any time without notice.
  3. Orders may be withheld if balances exceed the approved limit, or if payment terms are not honoured.

9. Late Payment and Interest

  1. Invoices not paid by the due date will accrue interest at 8% per annum above the Bank of England base rate, calculated daily, plus reasonable debt recovery costs.
  2. Where accounts remain overdue, further supply may be suspended and credit facilities withdrawn.

10. Liability

  1. Our liability for any claim arising from the supply of products is limited to the invoice value of the goods concerned.
  2. We are not liable for:
    • consequential, indirect or economic losses,
    • loss of profits, business interruption or loss of livestock,
    • any misuse or incorrect storage of goods.
  3. The Customer is responsible for ensuring products are suitable for their intended use.

11. Suspension, Withdrawal of Credit & Termination

  1. We reserve the right to:
    • withdraw credit facilities,
    • suspend supply,
    • request up-front payment, or
    • terminate trading,
    at our sole discretion and without obligation to provide reason.
  2. All outstanding sums become immediately due upon termination.

12. Quality & Warranty

  1. We warrant that goods are supplied in good condition and suitable for normal use.
  2. We do not guarantee suitability for any specific or unusual feeding requirement not disclosed at the point of order.

13. Force Majeure

  1. We are not liable for delays, non-performance or failure to deliver resulting from events beyond our reasonable control, including but not limited to extreme weather, fuel shortages, disease, labour disputes, equipment failure, or supply chain disruption.

14. Data Protection

  1. Customer information may be used for order processing, delivery, invoicing, credit control, marketing (where consent is given) and internal business purposes.
  2. All data is handled in accordance with UK data protection laws.

15. Governing Law

  1. These Terms & Conditions are governed by the laws of England & Wales.
  2. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

16. Acceptance

By applying for an account, placing an order, or accepting delivery, you confirm acceptance of these Terms & Conditions.
